NEW MEMBERSHIP 100 SERIES AGREEMENT

This Membership Agreement (“Agreement”) is entered into by and between Access Farmers Association (hereafter “the AFA”), an invite-only private limited cooperative association and Competent Authority Business of the African Diaspora, registered under Colorado State ID# 20248158323, and the undersigned individual (“New Member”).

WHEREAS the AFA is an invite only association holding high value, strategic and classified assets and intends to liquidate and distribute a portion of said assets between its members, buyers and suppliers to facilitate sovereign emergence initiatives to benefit the Global African Diaspora.

WHEREAS the AFA has announced to its members the opening of 100 new membership positions to assist in covering the final expenses associated with said liquidation and capital distribution efforts.

NOW THEREFORE, This Agreement sets forth the terms, conditions, and understandings governing New Member’s participation in the Access Farmers Association.

• Purpose

1. To legally document the record of membership dues paid by the new member
2. To set forth the terms and conditions for new member
3. To clarify the benefits of membership for the new member

• Eligibility

1. Membership in the AFA is only eligible to people of African Descent, in the typical likeness of those historically associated with “Black Organizations” in America.
2. Membership in the AFA is reserved for persons who support the self-determination of the African Diaspora.
3. Membership in the AFA is reserved for those who have paid the new membership fee prescribed on the official website link. https://accessfarmersassociation.com/product/afa-new-membership-100-series/ and have signed and returned this agreement to AccessFarmers@gmail.com
   1. New membership fees are non-refundable.

• New Membership Benefits

1. New members are by default virtue of the membership fee, entitled to one (1) of ten thousand (10,000) membership positions within the association, internally referred to as a “membership slots” which gain value based on historic and future lucrative initiatives legally engaged and/or completed by the AFA or historic or future valuable assets held or to be held by the AFA that may be shared with its founding members and new members at the discretion of the AFA.
2. New members are entitled to purchase additional membership slots, if available at the discounted rate of fifty USD ($50.00) per membership slot.
3. New Members are entitled to join the discord community and receive progress reports on lucrative initiatives and valuable assets held by the AFA and to engage fully with founding members in an unrestricted manner on all platforms launched and managed by the AFA
4. Receiving membership benefits require verification of eligibility, particularly being of African Descent according to section 2(a) of this agreement.

• Code of Conduct

1. The code of conduct relates to digital and physical spaces shared by our founding and new members.
2. New Members will have freedom of speech and expression in our private AFA forums and are free to give opinions, criticism, suggestions etc. however the AFA requires all members to be tasteful, wise and respectful in your communications, especially when addressing other members and administrators. This requirement is enacted to curate a peaceful and non toxic energy for our shared spaces.
3. When understanding is lacking New Members are advised to ask questions and seek the answers they may be missing.
4. New members are advised to contribute intelligence and expertise when conversations, especially regarding current objectives and operations of the AFA relate to subject matter of where the new member may be a professional or expert.
5. The AFA is not a religious or spiritual organization and will not persecute new members or any members for expressing their spiritual perspectives in our private forums, new members should also be aware that each member, including administrators and leadership have the right to express their spiritual perspectives regarding initiatives and operations undertaken by the AFA and that at times the AFA engages in commercial operations, specifically in Africa which integrate spiritual processes as a part of the high value business models that contribute significantly to our asset portfolio.
6. New members must operate and adhere to strict confidentiality concerning information shared in private membership spaces such as the discord community. It exists to keep our members updated in accordance with section 3(c) of this agreement and does not tolerate intelligence leakages to unaffiliated individuals or entities which may cause negative progression in the affairs of the AFA. Failure to observe this code responsibly may result in the termination of AFA membership for the new member.
7. New Members must exercise patience with leadership and administration as it progresses initiative operations wherever they are operating. 

• Confidentiality 

1. All non-public, strategic, operational, financial, or classified information disclosed to New Members through AFA communications, platforms, meetings, or materials shall be treated as strictly confidential.
2. New Members shall not disclose, reproduce, transmit, or share such information with any unaffiliated individual or entity without prior written authorization from the AFA.
3. The confidentiality obligation shall survive termination, suspension, or resignation of membership.

• Non-Circumvention

1. New Members agree not to circumvent, bypass, interfere with, or independently engage buyers, suppliers, partners, asset holders, or contacts introduced through AFA membership without express authorization from the AFA.
2. Any act of circumvention shall constitute grounds for immediate termination of membership.

• No Guarantee of Benefit Timelines

1. Membership dues constitute association dues and administrative contributions to the execution of lucrative initiatives and will at some time return economic, financial and jurisdictional benefits to the new member, but no guarantee is made regarding timelines to realize such benefits, profits, distributions, asset appreciation, liquidation proceeds, or economic outcomes nor the frequency of the same.
2. Any sharing or distribution of assets, value, or benefits remains solely at the discretion of the AFA and subject to internal determinations, legal constraints, and operational conditions.
3. For clarity, as of the date of the drafting of this agreement (January 9, 2026), the internal value of all membership slots are approximately at thirty thousand dollars ($30,000) per slot, but said value is subject to change based on the current status of the active initiatives and asset portfolio under the AFA management, a portfolio which is well defined within the shared private spaces of the AFA, such as the discord community located https://discord.gg/gh2yFKRTTU.

• Termination of Membership

1. The AFA reserves the right to suspend or terminate membership for violation of this agreement, including breaches of confidentiality, eligibility requirements, or the Code of Conduct.
2. Termination may be immediate where the AFA determines that continued membership poses risk to the association or its objectives.
3. Termination does not entitle the New Member to a refund of membership dues.

• Limitation of Liability

1. To the fullest extent permitted by law, the AFA shall not be liable for indirect, incidental, consequential, or speculative damages arising from membership participation, communications, or access to information.
2. Membership participation is voluntary and undertaken at the New Member’s own risk.

• Governing Law and Jurisdiction

1. This agreement shall be governed by and construed in accordance with the laws of the Global African Diaspora.

• Dispute Notice and Cure

1. No alleged breach shall be deemed material unless written notice describing the breach is provided to the breaching party.
2. The breaching party shall have ten (10) calendar days from receipt of notice to cure the breach where cure is reasonably possible.

• Entire Agreement

1. This document constitutes the entire agreement between the AFA and the New Member concerning membership and supersedes all prior communications or understandings.

• Amendments

1. This agreement may be amended only by written approval of the AFA. Continued participation after notice of amendment constitutes acceptance.

• Electronic Signatures and Counterparts

1. This agreement may be executed electronically and in counterparts, each of which shall be deemed an original.
